01 Acceptance of Terms

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you or the organization you represent ("Client," "you," "your") and Jiten Edu Technologies ("we," "us," "our"), regarding your access to and use of our digital platforms, software engineering services, consulting, and associated software products.

By browsing our website, requesting a project proposal, completing a consultation booking, engaging our team on WhatsApp, or commissioning any development project, you acknowledge that you have read, understood, and agree to be bound by these Terms.

02 Scope of Services

Jiten Edu Technologies delivers custom technology and digital growth services, including but not limited to:

03 Proposals, Estimates & Project Timelines

Every development engagement begins with a clear scope discovery and quotation:

• Quotations: Written proposals and WhatsApp estimates are valid for 15 calendar days from issuance.
• Delivery Timelines: Typical business websites are delivered within 3 working days upon receipt of all required assets. Custom LMS or Flutter applications have agreed milestone schedules defined in the project scope.
• Delays: We are not liable for timeline extensions resulting from client delays in providing essential assets, feedback, third-party API approval delays (e.g. Meta WhatsApp Business verification), or scope expansions.

04 Client Responsibilities & Asset Submission

To ensure swift and successful project delivery, the Client agrees to:

• Provide Necessary Materials: Supply logos, high-resolution media, website copy, product catalogs, and server credentials promptly.
• Content Legality & Copyrights: Warrant that all text, imagery, trademarks, and media supplied to us are owned by the Client or properly licensed. The Client indemnifies Jiten Edu Technologies against any third-party copyright claims arising from supplied materials.
• Timely Feedback: Review design wireframes, prototypes, and staging links within 48 to 72 hours of submission.

05 Pricing, Milestone Payments & Invoicing

Our pricing model is transparent with no hidden surcharges:

• Milestone Structure: Standard projects typically operate on an advance deposit (e.g. 50% upon project kickoff) and the remaining balance upon final QA approval before live deployment and handover.
• Payment Methods: We accept verified Bank NEFT/RTGS transfers, UPI, and major credit/debit cards via secure payment links (Razorpay / Stripe).
• Invoicing: Official GST-compliant invoices will be issued for all payments upon request.
• Late Payments: Deployment to production servers or release of final source codes will occur immediately upon settlement of outstanding milestone invoices.

06 Intellectual Property & Code Ownership

We respect intellectual property and grant full ownership to our clients upon project completion:

• Ownership Transfer: Upon receipt of full payment, all custom code, graphic layouts, and database structures developed specifically for your project become your exclusive intellectual property.
• Open Source & Frameworks: Open-source libraries (e.g., WordPress, WooCommerce, Flutter, PHP libraries) remain subject to their respective open-source licenses (GPL, MIT, Apache).
• Portfolio Showcase: Unless an explicit Non-Disclosure Agreement (NDA) is executed in writing prior to project kickoff, Jiten Edu Technologies reserves the right to display the completed work in our digital portfolio, before/after transformation showcases, and social media case studies.

07 6 Months Free Support & Warranty

Our 6-month free warranty includes:

• Fixing any bugs, code errors, or styling anomalies directly related to the original scope of work.
• Assistance with basic content updates, image adjustments, and contact form configuration checks.
• Security patches and guidance on hosting/SSL configurations.

Exclusions: The free warranty does not cover major new feature additions, third-party server downtime (e.g. Hostinger, AWS), or defects caused by unauthorized code modifications by third-party developers.

08 Third-Party Platforms, APIs & External Hosting

Our solutions seamlessly integrate with leading third-party tools (Meta WhatsApp Business API, Razorpay, Sensy, Google Analytics, Hostinger, Firebase):

• Third-Party Subscription Costs: Recurring domain registration fees, cloud hosting plans, SMS gateway credits, or WhatsApp API conversation charges from Meta are the direct responsibility of the Client.
• Service Outages: Jiten Edu Technologies is not liable for service interruptions caused by third-party platforms (e.g., Meta WhatsApp API server updates, payment gateway maintenance, or domain registrar DNS delays).

09 Revisions, Cancellation & Refund Policy

We work iteratively to ensure total client satisfaction:

• Design Revisions: We provide structured revision rounds during the initial wireframe and staging phases until design approval is achieved.
• Cancellation: If a project is cancelled by the Client before completion, work completed up to that point will be calculated based on hours logged and deliverables produced.
• Refunds: Advance deposits cover reserved developer time and research. Because custom software engineering involves dedicated technical labor, advance deposits are non-refundable once design and coding work has commenced.

10 Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable Indian law:

• No Consequential Damages: Jiten Edu Technologies shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business data resulting from website downtime or third-party outages.
• Liability Cap: In all circumstances, our maximum aggregate liability arising out of or related to our services shall not exceed the total fees paid by the Client to Jiten Edu Technologies for the specific project in dispute.

11 Termination of Services

Either party may terminate a project agreement upon written notice (via email or WhatsApp) if:

• The other party commits a material breach of these Terms and fails to cure such breach within 14 days of written notice.
• The Client engages in unlawful activities or requests features that infringe upon third-party intellectual property or privacy laws.

12 Governing Law, Jurisdiction & Inquiries

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
